1. Acceptance of Terms

Welcome to QuoPact (“QuoPact,” “we,” “us,” or “our”). By visiting our website, creating an account, publishing a commercial quote, accessing an interactive quote link, or utilizing any associated software and services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”) and our accompanying Privacy Policy. If you do not agree to all provisions contained herein, you must immediately discontinue use of the Service.

2. Description of the Service & Commercial Role

QuoPact is a specialized cloud software platform engineered for creative studios, agencies, independent contractors, and modern businesses. The Service allows users to create web-based interactive quotations, share them via secure cryptographic links, observe client open events and view metrics in real time, conduct structured line-item conversations, and capture authenticated digital acceptance records.

Platform as Software Facilitator: QuoPact is strictly an independent technology provider. We are not a broker, guarantor, legal representative, or party to any quotation, commercial engagement, estimate, or transaction executed between you and your clients. The terms, pricing, deliverables, warranties, and obligations set forth within any quotation are exclusively negotiated and enforced between the issuing business and the client recipient. QuoPact accepts no liability or responsibility for disputes, non-payment, breach of contract, or performance issues arising from commercial arrangements formulated through the Service.

3. User Accounts, Eligibility & Security

To access quote creation and administrative dashboards, you must register for an account. By registering, you warrant and represent that:

• You are at least 18 years of age and possess full legal capacity to enter into binding agreements.
• All registration information submitted, including your business name and email address, is truthful, accurate, and kept current.
• You have the legal authorization to act on behalf of the commercial entity named in your account.
• You are responsible for maintaining the confidentiality of your authentication credentials and for all activities that occur under your account.

You agree to immediately notify QuoPact if you detect or suspect any unauthorized access, breach of security, or compromised credentials.

4. Subscription Plans, Quotas & Platform Fees

QuoPact provides tiered access options, which may include a complimentary Free Plan (subject to monthly quotation publishing limits) and paid subscription tiers (such as “Pro”) offering elevated or unlimited quote quotas and advanced capabilities.

All paid subscriptions are billed in advance on a recurring monthly or annual billing cycle, as selected by you during checkout. Subscription fees are processed securely via our authorized third-party payment gateways (e.g., Dodo Payments). You agree to provide valid and updated payment details, and you authorize recurring billing of the applicable subscription fees until cancelled.

5. Billing Conditions, Non-Refundable Nature & Cancellation

Immediate Resource Provisioning: Paid subscriptions and quota upgrades on QuoPact instantly allocate dedicated computational resources, secure PostgreSQL database storage partitions, and real-time link delivery infrastructure for your business. Because feature entitlements and cloud publishing allocations are unlocked and made immediately accessible to your account upon payment confirmation, all subscription charges, plan upgrades, and platform fees are strictly final and non-refundable.

Hassle-Free Self-Service Cancellation: You have the freedom to cancel your subscription at any time with complete transparency. Cancellations can be executed directly within your Account Settings or Billing Portal without requirement of prior notice. When you cancel, your cancellation will take effect at the conclusion of your current prepaid billing cycle. You will retain full, unrestricted access to all paid features and quotas through the end of that active period, and no subsequent charges or renewals will be assessed thereafter.

Statutory Consumer Rights: Nothing in these Terms limits or excludes non-waivable statutory rights or mandatory cooling-off periods that may be granted to consumers under applicable local legislation (such as mandatory EU/UK consumer regulations). Where such mandatory statutes strictly require a refund by law, refunds will be evaluated strictly in conformance with statutory provisions.

6. Acceptable Use Policy & Content Conduct

You agree to use QuoPact exclusively for legitimate, ethical commercial operations. You strictly agree NOT to:

• Generate, distribute, or publish deceptive quotes, phishing schemes, scams, advance-fee fraud, or extortion attempts.
• Offer or solicit transactions involving unlawful, fraudulent, infringing, or dangerous goods or services.
• Impersonate any person, registered business entity, or government agency.
• Inject viruses, trojans, worms, malicious scripts, or attempt to bypass security measures or access restrictions.
• Scrape, index, or extract data from the platform via unauthorized automated means.
• Interfere with or disrupt the stability, security, or normal operation of our database, infrastructure, or network.

We reserve the right, without prior notice or liability, to investigate and take appropriate administrative or legal action—including immediate quote de-publication or account termination—against any user who violates these acceptable use standards.

7. Intellectual Property & Proprietary Rights

Your Content Belongs to You: You retain 100% full legal title, copyright, and ownership of all proposals, quotation descriptions, service specifications, pricing schedules, uploaded business logos, and customer client data that you submit to QuoPact (“User Content”). You grant QuoPact solely the limited, non-exclusive, worldwide license to host, display, transmit, and process your User Content for the sole purpose of operating and delivering the Service to you and your designated quote recipients.

QuoPact Platform Rights: All software source code, system architecture, user interface aesthetics, visual components, domain assets, documentation, and trademarks associated with QuoPact remain the exclusive intellectual property of QuoPact and its licensors. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of our software platform.

8. Database Safety & Service Availability

QuoPact relies on enterprise cloud infrastructure, including high-availability PostgreSQL managed by Supabase, equipped with automatic replication, encrypted backups, and database-level Row-Level Security (RLS). While we maintain rigorous engineering standards aimed at maximizing uptime, security, and data integrity, you recognize that no internet-based software is completely infallible. QuoPact does not guarantee that access will be wholly uninterrupted, error-free, or exempt from scheduled maintenance. You are encouraged to maintain independent business records of your commercial quotes.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, DOCUMENTATION, AND ALL FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. QUOPACT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE MAKE NO WARRANTY THAT QUOTES CREATED THROUGH THE SERVICE WILL MEET CLIENT COMMERCIAL EXPECTATIONS OR SECURE ANY CONTRACTUAL OUTCOME.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL QUOPACT, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER—INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF COMMERCIAL PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA—ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE UNDER ANY LEGAL THEORY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) SHALL BE STRICTLY LIMITED TO THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO QUOPACT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

11. Indemnification

You agree to defend, indemnify, and hold harmless QuoPact and its officers, directors, employees, and agents against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) any quotation, statement, work specification, or commercial agreement published by you; (c) your infringement of any third-party rights, including intellectual property or privacy rights; or (d) any dispute between you and any customer or client of yours.

12. Term, Termination & Modifications

These Terms remain in force as long as you maintain an account or access the Service. We reserve the right to suspend or terminate your access if we determine in good faith that you have breached these Terms, applicable regulations, or posed security or legal risks.

We may periodically update these Terms to reflect technical improvements, regulatory updates, or business developments. When updates occur, we will update the “Last updated” timestamp at the top of this document. Continued utilization of the Service following the posting of revised Terms constitutes full acceptance of the updated conditions.
